General Terms of Service

1. Agreement to Terms

These General Terms of Service ("Terms") form a legally binding agreement between you ("User", "you", or "your") and Aruwo™ Inc., a Delaware corporation ("Aruwo", "we", "our", or "us"), governing your access to and use of the Aruwo™ platform at aruwo.dev and all related services (collectively, the "Services").

By creating an account, clicking "I Agree," or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Cookie Policy, and Platform Rules, all of which are incorporated herein by reference.

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old to use Aruwo™. By creating an account, you represent that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into a binding agreement
  • You are not prohibited from using the Services under applicable law
  • You will comply with these Terms and all applicable laws

3. Account Registration

3.1 Account Creation

You must create an account to access the platform. You agree to provide accurate, complete, and current information and to keep it updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You are responsible for all activity that occurs under your account. If you suspect unauthorized access, notify us immediately at security@aruwo.dev.

3.3 One Account Per User

Each individual may maintain one personal account. Organizations may create organization accounts with multiple team members. Creating duplicate accounts to circumvent plan limits or suspensions is prohibited.

4. Subscription Plans and Billing

4.1 Plans

Aruwo™ offers tiered subscription plans (Starter, Builder, Scale) with different feature limits, AI credit allocations, and team seat limits. Current plan details and pricing are available at aruwo.dev/pricing.

4.2 Free Tier

The Starter plan is provided free of charge subject to usage limits. We reserve the right to modify or discontinue the free tier with 30 days' notice.

4.3 Paid Subscriptions

Paid subscriptions are billed in advance on a monthly or annual cycle. By subscribing, you authorize us to charge your selected payment method on a recurring basis.

4.4 Payment Methods

We accept payment via:

  • Credit/debit card (processed by Stripe)
  • Mobile Money — M-Pesa, MTN MoMo, Airtel Money, and others (processed by Flutterwave)
  • Bank transfer (processed by Flutterwave or Paystack)
  • Card payments via Paystack (Nigeria, Ghana, South Africa, Kenya, Côte d'Ivoire)

All prices are displayed in USD. Local currency equivalents are shown for reference only. You are responsible for any currency conversion fees charged by your bank or payment provider.

4.5 Taxes

Prices do not include taxes, levies, or duties. You are responsible for applicable taxes in your jurisdiction. Where required by law, Aruwo™ will collect and remit applicable taxes.

4.6 Refunds

Subscription fees are non-refundable except as required by applicable law or as expressly stated in our Refund Policy. Domain registration fees are non-refundable once a domain has been registered with a registry.

4.7 Upgrades and Downgrades

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and you will be charged a prorated amount. Downgrades take effect at the next billing cycle.

4.8 Failed Payments

If a payment fails, we will attempt to retry the charge. If payment cannot be collected after reasonable attempts, your account may be downgraded or suspended. We will notify you by email before taking action.

5. AI-Generated Content and Code Ownership

5.1 Your Inputs

You retain all rights to the startup ideas, prompts, business information, and other content you submit to the AI Builder ("Your Inputs").

5.2 Generated Outputs

Subject to your compliance with these Terms and payment of applicable fees, Aruwo™ assigns to you all right, title, and interest in the code, schemas, documentation, and other outputs generated by the platform in response to Your Inputs ("Generated Outputs"), to the extent such outputs are assignable.

5.3 No Guarantee of Uniqueness

Because multiple users may submit similar prompts, generated outputs may not be unique. Aruwo™ makes no warranty that Generated Outputs are original, non-infringing, or suitable for any particular purpose. You are responsible for reviewing generated code before deploying it in a production environment.

5.4 Aruwo's License to Your Inputs

You grant Aruwo™ a limited, non-exclusive license to process Your Inputs solely to provide the Services. We do not use your startup ideas or code to train AI models without your explicit, separate consent.

5.5 Open Source Components

Generated code may include open-source libraries and components subject to their own licenses (MIT, Apache 2.0, etc.). You are responsible for complying with applicable open-source licenses in any product you ship.

6. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with our Platform Rules. You must not use the Services to build, support, or facilitate any unlawful, harmful, or prohibited activity. See our Platform Rules for the full list of restrictions.

7. Domains

7.1 Registration

Domain registrations are processed through our registrar partners. By registering a domain through Aruwo™, you also agree to the registrar's terms and ICANN policies.

7.2 Accuracy of Registrant Data

You are responsible for providing accurate WHOIS registrant information as required by ICANN and applicable registry policies.

7.3 Domain Disputes

Aruwo™ is not responsible for domain disputes. Trademark disputes are subject to ICANN's Uniform Domain-Name Dispute-Resolution Policy (UDRP).

7.4 Expiry and Renewal

You are responsible for renewing domains before they expire. Aruwo™ will send renewal reminder emails. Expired domains may be released to the public registry.

8. GitHub and Third-Party Integrations

When you connect third-party services (GitHub, Vercel, etc.) to Aruwo™, you authorize us to access and interact with those services on your behalf using the permissions you grant. You remain responsible for your accounts on those platforms and for complying with their terms of service.

9. Intellectual Property

9.1 Aruwo's IP

The Aruwo™ platform, brand, name, logo, design, and underlying technology are owned by Aruwo™ Inc. and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any Aruwo™ IP to you.

9.2 Feedback

If you provide feedback or suggestions about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

10. Confidentiality

Aruwo™ will treat your startup ideas, project details, and business information as confidential and will not disclose them to third parties except as necessary to provide the Services or as required by law. See our Privacy Policy for full details.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, error-free, or secure
  • Generated code will be bug-free, production-ready, or suitable for any particular use
  • Any particular feature will remain available

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARUWO™ AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO ARUWO™ IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such cases, these limitations apply to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Aruwo™ and its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any product or service you build using the platform.

14. Termination

14.1 By You

You may delete your account at any time from your Account Settings. Deletion is irreversible and removes all your data subject to our data retention policy.

14.2 By Aruwo™

We may suspend or terminate your account at any time if you violate these Terms, our Platform Rules, or applicable law, or if we reasonably believe your use poses a risk to the platform or other users. We will notify you unless prohibited by law or an emergency situation.

14.3 Effect of Termination

Upon termination, your right to access the Services ceases immediately. Sections 5, 9, 11, 12, 13, 15, and 16 survive termination.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Informal Resolution: Before filing any formal dispute, you agree to contact us at legal@aruwo.dev and attempt to resolve the matter informally for at least 30 days.

Arbitration: If informal resolution fails, disputes shall be resolved by binding individual arbitration under the JAMS Arbitration Rules, conducted in English. You waive any right to participate in a class action.

Exception: Either party may seek injunctive or equitable relief in a court of competent jurisdiction for IP infringement or unauthorized access matters.

For users in Africa, nothing in this section limits your rights under applicable mandatory consumer protection laws in your country of residence.

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, Platform Rules, and DPA, constitute the entire agreement between you and Aruwo™ regarding the Services.
  • Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions remain in full force.
  • Waiver: Failure to enforce any right under these Terms is not a waiver of that right.
  • Assignment: You may not assign these Terms without our written consent. We may assign our rights to a successor entity.
  • Force Majeure: We are not liable for failures caused by circumstances beyond our reasonable control.
  • Changes: We may update these Terms. We will notify you by email or in-platform notice at least 14 days before material changes take effect. Continued use constitutes acceptance.
